Inhoud

This course focuses on the involvement of the EU in the area of corporate governance. Since 2003 the EU has taken a number of measures and initiated discussions on others dealing with core issues of corporate governance. The course will deal with various corporate systems that we see within and outside the EU, the EU focus on national corporate governance codes based on comply or explain, the functioning of the board and the role of non-executive directors, director remuneration, the issues triggered by the presence of controlling shareholders and mechanisms that enhance their control disproportionally, shareholder voting (cross-borders), shareholder activism. Active participation in the meetings is expected of the students. For a successful completion of the course students need to attend all meetings, form groups to prepare papers on one of the subjects of the course and present the papers in front of the whole group.

1 x 2 hours lectures per week (7 meetings). Each meeting will deal with a specific subject.
